Terms of Service

MyProspectPro is a software service that lets you upload contact lists, build email templates, send email outreach on a cadence you configure, and track engagement metrics including opens, clicks, likes, forwards, unsubscribes, and delivery outcomes.

• You must be at least 18 years old or the age of majority in your jurisdiction.
• If you sign up on behalf of a company, you represent that you have authority to bind it to these Terms.
• You must provide accurate registration information and keep it up to date.
• You are responsible for the confidentiality of your credentials and for all activity under your account.

You will not, and will not permit anyone to:

• Use the Service for anything unlawful, deceptive, fraudulent, or infringing.
• Send unsolicited bulk email (spam), or email recipients who have not consented or with whom you have no legitimate business relationship.
• Send phishing, malware, adult content, hate speech, harassment, or content that violates applicable anti-spam laws including CAN-SPAM, CASL, GDPR/PECR, and equivalent laws.
• Attempt to disable, interfere with, probe, scan, reverse engineer, or circumvent any security or technical limit of the Service.
• Resell, sublicense, or make the Service available to any third party outside your own use.
• Scrape or harvest data from the Service.

You must honor unsubscribe requests promptly, keep your recipient lists lawful, and include valid sender identification and postal address information in your outreach as required by law.

You retain ownership of the content and contact data you upload ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, transmit, process, and display Your Content solely to provide and improve the Service. You represent that you have all rights necessary to grant this license and to send the outreach you configure.

The Service, including all software, documentation, branding, and content we provide (excluding Your Content), is owned by MyProspectPro LLC or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically each billing period until canceled. You can manage or cancel your subscription at any time through paddle.net. Refunds are handled under our Refund Policy.

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or perfectly deliverable email. Third-party mailbox providers ultimately decide whether an email is delivered, filtered, or marked as spam.

We may suspend or terminate your access to the Service if you:

• Materially breach these Terms or our acceptable use rules;
• Fail to pay any amount owed;
• Present a security, fraud, or deliverability risk to us, our other users, or recipients; or
• Engage in repeated or serious policy violations.

You may stop using the Service and cancel your subscription at any time. On termination, your right to use the Service ends, and we will delete or anonymize your data as described in our Privacy Policy, except where retention is required by law.

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, MyProspectPro LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. Our aggregate liability arising out of or related to the Service will not exceed the fees you paid to us (through Paddle) in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud, death, or personal injury caused by negligence.

You will defend and indemnify MyProspectPro LLC from and against any claims, damages, and costs (including reasonable legal fees) arising from Your Content, your outreach, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, except where mandatory local law grants you the right to bring proceedings elsewhere.

Neither party is liable for failure or delay in performance due to events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or third-party service failures.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use of the Service after the effective date of the change means you accept the revised Terms.
